Welcome to Unuu. These Terms of Service ("Terms") govern your use of our website and social media management services. By accessing our website or engaging our services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use our website or services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.
2. Services Description
Unuu provides social media management and digital marketing services, including but not limited to:
- Social media account management and content creation
- Video and reels production
- Influencer marketing campaigns
- Paid social media advertising
- Content strategy development
- Analytics and performance reporting
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information about your business and brand
- Grant necessary access to social media accounts and platforms
- Respond to requests for approvals and feedback in a timely manner
- Ensure all materials provided to us do not infringe on third-party rights
- Comply with all applicable laws and platform terms of service
- Make payments according to the agreed schedule
4. Intellectual Property
Our Content: All content, designs, strategies, and materials created by Unuu remain our intellectual property until full payment is received. Upon full payment, ownership of deliverables specifically created for your project transfers to you.
Your Content: You retain ownership of all pre-existing materials, brand assets, and content you provide to us. You grant us a licence to use these materials solely for the purpose of providing our services.
Portfolio Rights: We reserve the right to showcase work completed for you in our portfolio and marketing materials, unless otherwise agreed in writing.
5. Payment Terms
Payment terms are as follows:
- All fees are quoted in British Pounds (GBP) unless otherwise specified
- Monthly retainer fees are due at the beginning of each service month
- Project-based work requires a 50% deposit before commencement
- Invoices are payable within 14 days of issue
- Late payments may incur interest at 4% above the Bank of England base rate
- We reserve the right to suspend services for overdue accounts
6. Cancellation and Termination
Monthly Services: Either party may terminate monthly services with 30 days' written notice. Fees for the notice period remain payable.
Project Work: Cancellation of project work will result in payment for all work completed to date, plus any non-recoverable costs incurred.
Immediate Termination: We reserve the right to terminate services immediately if you breach these Terms, engage in illegal activity, or fail to make payments.
7. Confidentiality
Both parties agree to keep confidential any proprietary information, business strategies, login credentials, and other sensitive information shared during our engagement. This obligation continues after the termination of services.
8. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid for the services in question
- We are not liable for indirect, incidental, or consequential damages
- We are not responsible for actions taken by social media platforms, including account suspensions or algorithm changes
- We do not guarantee specific results, follower counts, or engagement metrics
- We are not liable for third-party content or actions of influencers
9. Indemnification
You agree to indemnify and hold Unuu harmless from any claims, damages, or expenses arising from your breach of these Terms, your content, or your violation of any third-party rights or applicable laws.
10. Social Media Platform Compliance
You acknowledge that:
- Social media platforms have their own terms of service that must be followed
- Platform policies may change without notice, affecting our services
- We are not responsible for platform outages, bugs, or policy enforcement actions
- Advertising campaigns are subject to platform approval processes
11. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or internet service disruptions.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
